SEDAR+ known issues and workarounds 

General System

Issue Comments/Workaround 
Continuing saved drafts in Dashboard. Resolved November 18, 2024
System Processing Time is Slow (especially loading each page). CSA is actively working to address the system performance issue and it is being treated as a high priority.  
Submitted Projects Not Immediately Appearing in Submitted Work. This may occur on the occasion and whether the filing appears immediately in Submitted Work or is delayed, you will still receive the email confirmation for the filing.  
Workaround: If you took note of the filing number, you can search for the filing using the ‘Filing’ search tab. When a delay does occur, the filed project will show up in your Submitted list by the next day, at the latest. 
If you have access to DisclosureNet/Avantis and the filing had public documents, you can use that system to confirm filing was completed. 
‘Connection Interrupted’ error message (previously displayed as ‘Failure of Web Server bridge’). This error may be displayed when you hit the submit button and the system requires extra time to process the request.  CSA is actively working to address the system performance issue and it is being treated as a high priority. 
Workaround: Do not attempt filing again. Wait 10 minutes, then check your ‘Submitted work’ tab to confirm if the filing was successfully completed. If not, try filing the documents again. 
Address search not working. We are working with Canada Post to resolve this problem. 
NRD search not working. This issue has been resolved. If you continue to encounter this problem, please contact the CSA Service Desk. 
Multiple steps required to download a Confirmation of Filing.We will consider for a future enhancement. 
Linking Documents Incorporated By Reference – Search shows all issuers, should be limited to filings by this issuer. Workaround: Login, go to the profile of the issuer to view the filings and determine the Filing Number of each document incorporated by reference. Then, when creating the filing, search by Filing Number when you need to add your documents incorporated by reference.  If you are unable link it, you’ll need to attach the PDF copies. 
We will consider limiting filings incorporated by reference as for a future enhancement. 

No communication when SEDAR+ is experiencing performance issues. 
We are working to enhance our communication.  
List of Known Issues on the SEDAR+ System Status Page isn’t accurate. The SEDAR+ System Status page on the CSA site has been updated to include a full list of issues and we will update it, as necessary.
Password expiration warning not long enough.We will consider for a future enhancement.
Password expiration time period should be longer.We have received requests to change the 45-day expiry to a longer period. Based on consultation with our security specialist, this is something we cannot do.
Issues with resetting user password.Workaround: If you experience issues resetting your password, use the ‘In Private’ or ‘Incognito’ tab option in your browser to complete your user password reset.
CSA Fee Guide is outdated.CSA Fee Guide is in the process of being updated. 
Company Name in Contact field on draft projects disappears.  Contact name also changes from one filer to another automatically.We will consider for a future enhancement.
Some accessibility aspects of the site could be improved.SEDAR+ is designed to meet all Accessibility for Ontarians with Disabilities Act (AODA) requirements and accessibility best practices.
When you maintain a filing to add jurisdictions, the system does not automatically charge the filer the fee (because no document is attached to trigger it).We will consider for a future enhancement 
Workaround: Maintain the filing and add the jurisdiction(s). As a document was not attached, filing fee(s) will not be charged. Please contact the jurisdiction(s) for outstanding fee creation.
Issues submitting large documents.Workaround: Compress the documents to reduce their size.

Form 45-106F1

Report of Exempt Distribution – Item 8 Compensation – Not able to add more than one registrant/agent/company/individual receiving compensation or commission. This issue was fixed in June 2024. 
Unable to submit an Amended Form 45-106F1. This issue was fixed in June 2024. 
Amending Form 45-106F1; the system seems to process slower on amended projects than on initial filings. CSA is actively working to address the system performance issue and it is being treated as a high priority. 
Error when you hit Save, then multiple copies of the draft filing appear in Drafts list and they all have the same ‘TEMP’ number This issue was fixed in June 2024. 
Form shows previous names that are over 12 months old. We will consider for a future enhancement. 
Adding Item 9 Details is slow and glitchy; consider allowing Schedule 2 to be attached in Excel format or to pull data from previous filings. For now, follow instructions in the SEDAR+ Quick Guide for Reports of Exempt Distribution to populate Item 9.  Resolved November 18, 2024
When entering information regarding deferred compensation in Item 8(d) of a Form 45-106F1 – Report of Exempt Distribution for one entity and if there are multiple entities being compensated, the information regarding deferred compensation for one entity will also show up in that section (Item 8(d)) for the other entity (even though the box is not checked off) when the .pdf document is generated. This defect is currently under investigation (QM-96496). 

Form 72-503

Investment Fund Prospectuses

Inability to File in One Project. Resolved November 18, 2024
Certificate/notice(s) re proceeds of distribution – ‘Connection interrupted’ error messageWorkaround: If you receive the ‘Connection interrupted’ error message when submitting ‘Certificate/notice(s) re proceeds of distribution’ document(s), wait 10 minutes then check your ‘Submitted work’ tab to confirm if the filing was successfully completed. If the submission was not successful, file the document using the ‘Other’ document type. Enter the correct document type name in the Description box provided on the ‘Other’ document type for the regulators’ reference. 
Series disappear from Draft projects. Workaround: only create a series when you are ready to file or set up your draft project but you’ll need to redo the series/classes information before you submit. 
Scrolling in pop up window when adding series. This defect is currently under investigation (QM-96366/96368). 
The issue here is that after the final receipt has been made public,  the classes/series and date of the last final prospectus were pushed to the investment fund profile, and the final receipt and the final materials are displayed on all of the funds in the submission, then another document is submitted and made public (example, management agreement) for only a subset of funds in the filing, what happens is that the final receipt as well as all the final materials will only be displayed on to the subset of funds that was selected, (no longer on all funds in the submission) (QM-93478). Workarounds: 
How do I submit a prospectus-related document after the final receipt is issued for an investment fund group? 
When a document (for example, a material contract) that pertains only to a subset of funds in the prospectus (example, only 2 of the 20 funds are selected under the ‘Investment funds included in the submission’) and the document is submitted after a final receipt is issued, the final documents including the final receipt will only be displayed under the two funds that were selected when the last submission is submitted.  As a workaround, when filing a document after a final receipt is issued, all funds must be selected under the ‘Investment funds included in the submission’ section even if the document only pertains to a subset of funds in the prospectus. Upload the document and then submit.  

How do I file prospectus ‘final materials’ for an investment fund group? 
When filing final materials in multiple submissions, ensure that the last submission before the principal regulator issues the final receipt, has all the funds in the prospectus listed under the ‘Investment funds included in the submission’ section. This will ensure that the final materials will be displayed under all the funds in the submission when searched. We suggest filing the document ‘Confirmation re final materials’ as the last submission if you need to submit the final materials in multiple submissions. 

Fees/Refunds

Certificate/notice(s) re proceeds of distribution Fees – Sometimes NIL proceeds still calculates fees.Workaround: file the document using the ‘Other’ document type so the fee attributes don’t trigger. Enter the correct document type name in the Description box provided on the ‘Other’ document type for the regulators’ reference. 
This defect is under investigation (QM-95842).
Investment Fund projects not calculating certificate of proceeds fees properly yet. Workaround: enter NIL for all funds in BC, AB and QC and the commissions will create outstanding fees to be paid after filing submission. 
Investment Fund projects not calculating certificate of proceeds fees for Hybrid funds. We will consider for a future enhancement. 
 
Hybrid funds need two lines for BC proceeds (one for Canada wide proceeds for ETF units and one for BC proceeds for all non-ETF units). 
Certificate/notice(s) re proceeds of distribution on supplement filings are calculating incorrectly in BC even for projects where the base shelf was filed using SEDAR+ (issue started following the April 2024 BC fee rule changes). Workaround: enter ‘0’ as the BC proceeds in SEDAR+ and the BCSC will create an outstanding fee to be paid after filing submission.
Delays caused by waiting for Fee Exception Codes. Fee Exception Codes need to be authorized by each jurisdiction to which the filing is being submitted. To simplify the process for filers, the CSA Service Desk coordinates the fee exception code requests when multiple jurisdictions are involved. The turnaround time is one to two business days. 
 
When a Fee Exception Code is only required from a single jurisdiction, filers can contact the jurisdiction for the code.  
Filers want to see the fees owing before the Submit button. Can the fee attributes page please have a ‘calculate fees’ box to show us the fee before we hit submit? We will consider for a future enhancement. 
Delays in receiving refund.The remaining backlog of refunds was processed in August. 
Data retrieval for accounting departments is difficult. The data retrieval in SEDAR+ doesn’t pick up all transactions properly, is missing the matter number etc. and doesn’t necessarily pull in the time of payment.  We will consider for a future enhancement. 
Issue Comments/Workaround
System doesn’t seem to find most Third Party Filer profiles. Workaround: If you know the Third Party Filer (TPF) has filed on legacy SEDAR, do a search for the EWR Filing Project under the issuer’s profile, it should show you the link to the TPF filer and you can access the TPF profile to request authority.
Search for public documents filed on SEDAR+.Workaround: If you have access to DisclosureNet/Avantis, public documents filed on SEDAR+ are also available on this site.   
Search feature on the SEDAR+ website is hard to use. Workaround: If you need to find SEDAR+ filing procedures on the SEDAR+ website, it is usually easier to google ‘SEDAR+ procedure for X’ to get to the right page rather than searching on the SEDAR+ website. 

Watch List

Can an indicator be added on an investment fund profile to indicate if the fund has been terminated so that filers can filter terminated funds from watch lists?We will consider for a future enhancement.
Only one user can add a profile/group to their watchlist per filing organization. Can SEDAR+ be updated so multiple filers at the same filing organization can watch the same profiles?This is a defect that we are currently investigating (QM-96734). 

WKSI Prospectus

Unable to file ‘Final’ documents immediately after filing ‘Preliminary’.Workaround: To prevent this issue, the filer should wait a short period between making their first and second submission (enough time to receive at least one ‘maintain’ confirmation email). 
Filing processHow do I file a shelf prospectus, that is relying on an exemption from certain prospectus requirements, for a well-known seasoned issuer (WKSI)?
 
When filing a shelf prospectus relying on the WKSI exemption, preliminary documents should be filed before final documents. The letter required to be filed in place of the preliminary shelf prospectus must be filed under the document type ‘Preliminary short form prospectus’ and not the ‘Cover letter’ document type. This letter and any technical or oil and gas reports must be filed under the ‘Preliminary’ subtype. Otherwise, the fees owing will not be calculated correctly by SEDAR+. All other documents required must be filed in another submission, under the ‘Final’ subtype.

OTC Issuers

Unable to select ‘ON’ as principal regulator if OTC issuer. Workaround: maintain profile to not indicate issuer is an OTC issuer and select ‘ON’ as the principal regulator.

Pre-Filing Prospectus

Unable to file as system thinks that there is a duplicate fund issuer selected. Workaround: create the pre-filing project from the IFM profile and add the issuer profile. The jurisdiction(s) will create an outstanding fee to be paid after the filing submission.

Profiles

Issuer has more than one profile.We are working on a solution to merge duplicate profiles and their filings so that data integrity will be preserved.

Before proceeding to create an IPO profile in SEDAR+, you must send a pre-requisite email to the CSA Service Desk notifying them of your intention to create an IPO profile in SEDAR+.
 
Click on the link to access the prescribed email template.
 
The subject line must read ‘IPO Profile Creation in SEDAR+’, and the email must be sent using your primary business email address.
 
Once the email is sent, please call the Service Desk at 1-800-219-5381 to inform them of your email request.
 
Finally, proceed to create your profile in SEDAR+. Refer to Create a profile in SEDAR+.
 
Upon successful approval of your profile in SEDAR+, you will receive an automated email notification confirming your profile creation; as well as an email from the CSA Service Desk confirming that your profile status is ‘private’.
